Definitions
In these terms and conditions, the following definitions apply:
Ecom Syndicate Coaching:
Ecom Syndicate Coaching is a trading name of Syndicate Group Limited, a company established under the laws of Hong Kong, with its registered address at Unit 2A, 17/F, Glenealy Tower, No. 1 Glenealy, Central, Hong Kong.
Agreement:
Any agreement entered into between Ecom Syndicate Coaching and the Counterparty.
Counterparty:
Any natural person or legal entity who has concluded or wishes to conclude an Agreement with Ecom Syndicate Coaching.
Consumer:
The Counterparty, being a natural person, not acting in the exercise of a profession or business.
Products:
Digital products supplied by Ecom Syndicate Coaching, including but not limited to online content, training materials, and educational resources.
Services:
All activities, coaching services, guidance, and related performances provided by Ecom Syndicate Coaching.
In Writing:
Recorded on paper or electronically (including email).
Applicability
These general terms and conditions apply to all offers, agreements, and legal relationships between Ecom Syndicate Coaching and the Counterparty.
By entering into an Agreement, the Counterparty accepts these terms and conditions.
Ecom Syndicate Coaching reserves the right to deviate from these terms where beneficial to the Counterparty.
If any provision is invalid, the remaining provisions remain in full force.
Offer and Agreement
All offers made by Ecom Syndicate Coaching are non-binding.
Information provided on the website, in communication, or in promotional materials is indicative and does not constitute a binding offer.
An Agreement is concluded when the Counterparty accepts an offer and fulfills any required conditions.
Ecom Syndicate Coaching reserves the right to refuse any Counterparty without stating reasons.
Services
Ecom Syndicate Coaching provides digital products and services, including but not limited to coaching, guidance, and access to online platforms.
The exact structure, content, and delivery of services may vary and are subject to change without prior notice.
Delivery
Access to products and services will be granted within a reasonable timeframe after payment.
Any stated delivery times are indicative and not strict deadlines.
Failure to meet a delivery timeframe does not entitle the Counterparty to compensation or termination.
Payment
Payment must be made within the terms specified by Ecom Syndicate Coaching.
Failure to pay on time results in immediate default without further notice.
In case of late payment:
Ecom Syndicate Coaching may suspend services
The Counterparty owes statutory interest
Collection costs may be charged
All claims become immediately due in case of non-payment.
Right of Withdrawal
This article applies only if the Counterparty is a Consumer.
The Consumer has the right to withdraw within 14 days, unless:
the service has already commenced
the Consumer has explicitly agreed to waive the right of withdrawal
Once the service has started, no right of withdrawal applies.
Cancellation and Refunds
Cancellation after entering into the Agreement is not permitted unless explicitly agreed in writing.
No refunds are granted, unless legally required or in case of demonstrable failure to deliver the agreed services.
Liability
Ecom Syndicate Coaching is not liable for any direct or indirect damages, including but not limited to:
loss of profit
loss of data
business interruption
If liability is established, it is limited to the amount paid by the Counterparty.
Ecom Syndicate Coaching is not responsible for actions, policies, or failures of third parties.
Results Disclaimer
Ecom Syndicate Coaching does not guarantee any results, revenue, or business success.
All outcomes depend on the Counterparty’s own efforts, execution, and external factors.
Intellectual Property
All materials, content, and systems remain the property of Ecom Syndicate Coaching.
It is strictly prohibited to copy, distribute, or share any materials.
Violation results in an immediate penalty of €5,000 per breach, without prejudice to further claims.
Confidentiality
The Counterparty must treat all information obtained as strictly confidential.
Sharing any information with third parties is prohibited.
Violation results in an immediate penalty of €5,000 per breach.
Termination
Ecom Syndicate Coaching may terminate or suspend the Agreement immediately if the Counterparty:
fails to meet payment obligations
violates these terms
behaves in a disruptive or harmful manner
No refunds will be issued in such cases.
Force Majeure
Ecom Syndicate Coaching is not liable for failure to perform due to circumstances beyond its control.
Applicable Law
All Agreements are governed by Dutch law.
Disputes will be handled by the competent court in the Netherlands.
